Terms of Service
Effective Date: June 9, 2026 — Eannarino Law, P.A. d/b/a The Deed Lawyer
1. Acceptance of Terms
By accessing or using the self-service deed preparation platform at thedeedlawyer.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a binding agreement between you and Eannarino Law, P.A., a Florida professional association ("Firm," "we," "us," or "our").
2. Scope of Service
The Firm provides self-service Florida deed preparation only. The service is strictly limited to the preparation of the deed instrument you select during the intake process. The Firm does not provide, and this service does not include:
- Title search or title examination;
- Title insurance of any kind;
- Legal advice beyond the scope of the deed preparation engagement;
- Real estate brokerage, valuation, or investment advice;
- Tax advice, including advice regarding documentary stamp tax liability or federal tax consequences of any transfer; or
- Recording services beyond those expressly included in your order.
If your matter requires services beyond those described above, you should consult a qualified attorney, title agent, or other appropriate professional before proceeding.
3. Attorney-Client Relationship
Submitting the intake form does not establish an attorney-client relationship. An attorney-client relationship is established only upon the Firm's written acceptance of your matter, which occurs after payment is received, identity verification is completed, and the matter has been reviewed by a licensed Florida attorney. The Firm reserves the right to decline any matter in its sole discretion.
4. Identity Verification
All transferors (grantors) are required to complete identity verification before the Firm will prepare or deliver any deed instrument. This requirement exists to protect against deed fraud and grantor impersonation. Failure to complete identity verification will result in the matter being placed on hold. The Firm reserves the right to decline a matter if identity cannot be verified to the Firm's satisfaction.
5. Fees and Payment
All fees are disclosed during the intake process prior to payment. Payment is required before the Firm will begin preparation of your deed. Fees are processed via eCheck/ACH through a licensed legal payment processor.
6. Refund Policy
All fees are non-refundable once payment is submitted, except in the following circumstance: if the Firm declines to accept your matter following attorney review, any service fee paid will be refunded in full. Refunds for declined matters will be processed within ten (10) business days of the Firm's notice of declination.
No refund will be issued where a matter is placed on hold or declined due to the client's failure to complete identity verification, provide required information, or cooperate with the Firm's intake process.
7. Misrepresentation and Fraud
If the Firm determines, at any time, that you have provided false, fraudulent, or misleading information in connection with your matter — including but not limited to misrepresentation of identity, ownership, or authority to transfer — your matter will be terminated immediately, no refund will be issued, and you will be reported to appropriate law enforcement authorities. You agree to indemnify and hold harmless the Firm, its attorneys, and its agents from any and all claims, damages, losses, and expenses arising out of or related to your misrepresentation or fraudulent conduct.
8. Documentary Stamp Tax
Florida law imposes documentary stamp tax on certain deed transfers pursuant to Fla. Stat. § 201.02. The documentary stamp tax is a statutory obligation of the parties to the transfer — it is not a fee charged by the Firm. The Platform provides an estimate of documentary stamp tax based on information you provide; this estimate is not a legal determination of tax liability. You are solely responsible for ensuring that the correct amount of documentary stamp tax is paid. The Firm recommends consulting a qualified tax professional if you have questions regarding your documentary stamp tax obligation.
9. Due-on-Sale Notice
Important Notice Regarding Mortgage Due-on-Sale Clauses
If the property being transferred is encumbered by a mortgage or deed of trust, the transfer may trigger the due-on-sale clause contained in your loan documents. A due-on-sale clause permits your lender to demand immediate repayment of the outstanding loan balance upon transfer of title. This applies to many common transfers, including adding or removing a person from title, transferring property to a trust, or conveying property to a business entity.
The Firm strongly recommends that you review your loan documents and consult with your lender and a qualified attorney before proceeding with any transfer if your property is subject to a mortgage. The Firm assumes no responsibility for any acceleration of debt, default, or other consequence arising from a lender's exercise of a due-on-sale clause.
10. No Title Insurance
The Firm does not provide title insurance. A deed prepared by the Firm does not protect you against prior liens, encumbrances, claims, or defects in title. If title insurance is important to your transaction, you should engage a licensed title agent or title insurance company separately.
11. Accuracy of Information
You represent and warrant that all information you provide through the Platform is true, accurate, and complete to the best of your knowledge. The Firm relies on the information you provide to prepare your deed. The Firm is not responsible for errors in the deed resulting from inaccurate, incomplete, or misleading information provided by you.
The legal description used in your deed will be sourced from the recorded instrument on file with the applicable county clerk of court. The Firm does not use property appraiser summaries or abbreviated legal descriptions as the basis for any deed instrument.
12. Limitation of Liability
To the fullest extent permitted by applicable law, the Firm's liability arising out of or related to these Terms or the services provided through the Platform shall not exceed the total fees paid by you for the specific matter giving rise to the claim. The Firm shall not be liable for any indirect, incidental, consequential, or punitive damages.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Florida without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the services provided through the Platform shall be brought exclusively in the state or federal courts located in Martin County, Florida, and you consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
